1. Acceptance of Terms
By accessing or using Entity Ledger (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. Entity Ledger reserves the right to modify these terms at any time. Continued use of the Service following any modification constitutes acceptance of the revised terms.
2. Description of Service
Entity Ledger is a counterparty intelligence and compliance research platform that aggregates publicly available information about legal entities and individuals from lawful primary sources including company registries, sanctions lists, regulatory databases, and beneficial ownership registers. The Service is intended for use by businesses, compliance professionals, and financial institutions conducting due diligence and risk assessment.
3. Permitted Use
You may use the Service solely for lawful compliance, due diligence, risk management, and counterparty assessment purposes. You agree not to:
- Use the Service to harass, stalk, or harm any individual;
- Systematically scrape, harvest, or download data in bulk without written authorisation;
- Resell, sublicense, or redistribute data obtained through the Service;
- Use the Service in any manner that violates applicable laws or regulations, including data protection legislation;
- Attempt to circumvent any technical measures or access controls.
4. Data Sources and Accuracy
Information displayed on the Service is sourced from publicly available records believed to be reliable, including the Cyprus Registrar of Companies, UK Companies House, and official government sanctions lists (US OFAC/BIS, the EU, and UK OFSI). Entity Ledger does not guarantee the accuracy, completeness, or timeliness of any information. Data may be out of date, incomplete, or contain errors originating from primary sources. You should independently verify any information before taking action based upon it.
Risk scores, classifications, and derived signals are computed indicators, not legal determinations. They do not constitute legal or financial advice and should not be relied upon as such.
5. No Legal or Financial Advice
Nothing on the Service constitutes legal, financial, regulatory, or compliance advice. The Service provides informational data only. You should consult qualified legal and compliance professionals before making decisions based on information obtained through the Service.
6. Intellectual Property
The Service, including its design, software, and presentation of data, is the property of Entity Ledger and is protected by applicable intellectual property laws. Underlying data originating from public registries remains subject to the terms of those registries. You may not reproduce, distribute, or create derivative works of Service content without prior written consent.
7. Data Usage Policy
While the underlying facts about legal entities may originate from public sources, the Entity Ledger dataset — including the normalised entity graph, risk signal classifications, beneficial ownership mappings, cross-source entity matching, and all derived indicators — constitutes a proprietary database and is protected as such under applicable intellectual property and database rights legislation.
The following uses are prohibited without prior written authorisation from Entity Ledger:
- Automated access to the Service by bots, crawlers, scrapers, or any non-human agent;
- Systematic or bulk extraction of records, regardless of technical method;
- Building or training datasets, models, or competing products using data obtained from the Service;
- Redistribution, resale, or sublicensing of any data obtained through the Service;
- Incorporating Service data into any product or service offered to third parties.
Individual lookups performed manually for internal compliance, due diligence, or counterparty assessment purposes are permitted under these Terms.
Commercial data licensing. Organisations requiring programmatic access, bulk data, or integration rights must obtain a commercial data licence. To enquire, contact [email protected]. Unlicensed commercial use may result in immediate termination of access and legal action.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Entity Ledger expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Entity Ledger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the greater of €100 or the amount paid by you for the Service in the twelve months preceding the claim.

The Service may contain links to third-party websites or data sources. These links are provided for reference only. Entity Ledger does not endorse, control, or assume responsibility for the content or practices of any third-party sites. Access to third-party resources is at your own risk.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.
